BY PLACING AN ORDER FOR SERVICES FROM THIS WEBSITE, YOU AFFIRM THAT YOU ARE OF LEGAL AGE TO ENTER INTO THIS AGREEMENT, AND YOU ACCEPT AND ARE BOUND BY THESE TERMS AND CONDITIONS. These terms and conditions (these "Terms") apply to the purchase and sale of services through the website of MA Legal Inc. dba Immigration Support Center (https://immigrationsupportcenter.com/) (the "Site"). These Terms are subject to change by Immigration Support Center (referred to as “ISC”, "us", "we", or "our" as the context may require) without prior written notice at any time, in our sole discretion. Any changes to the Terms will be in effect as of the "Last Updated Date" referenced on the Site. You should review these Terms prior to purchasing any services that are available through this Site. Your continued use of this Site after the "Last Updated Date" will constitute your acceptance of and agreement to such changes.

Following is a list of services that you may purchase from the Site (collectively, the “Services”):

· Business Entity Registration (including registration of an LLC or Corporation in the state of your choosing; this service also comes with an application for an EIN number from the IRS for your new business entity).

· Business Bank Account Set-Up (assistance with setting up a business bank account for your new business entity; you are not required to be present in the United States to effectuate this service).

· Immigration Business Plan (preparation of an immigration business plan for your visa application; this service comes with unlimited revisions).

· Business Coaching and Assistance (this service will provide assistance if you are unsure of what type of business to invest in; this service is also helpful if you do not know what steps to take in order to help your business move forward).


General Terms

1. Although you are purchasing one or more of the Services from the Site, you understand and acknowledge that we have the option to utilize the services of 3rd party service providers to provide you with these Services. Regardless of whether we provide the Services to you directly or a 3rd party service provider is involved, you hereby agree to these terms as a prerequisite for using this Site.

2. If a 3rd party service provider is involved (aka “Provider”), we will facilitate the communication process such that the Provider obtains direct access to you in order to effectively provide the Services. However, we will facilitate the introduction to the Provider and collect payment for the Services on the Provider’s behalf.

3. You agree and understand that a Provider may require that you review and execute a separate agreement with each Provider, and you agree in advance to comply with their terms as well.

4. You agree and understand the Services being provided under this Agreement are non-legal in nature.

5. You acknowledge that we have fully disclosed to you that the owner of Immigration Support Center (Michael Ashoori, Esq.) is the same owner of Ashoori Law. However, you understand that we are a completely separate entity from Ashoori Law, providing only non-legal services as listed above. You agree that neither we nor Ashoori Law is liable for anything that may occur as a result of your purchasing the Services from us. You further understand and acknowledge that although you are an existing client of Ashoori Law, you are free to utilize and acquire the non-legal Services of any other business that competes with ISS.

6. You agree to defend, indemnify and hold harmless Immigration Support Center, Ashoori Law (and its officers, directors, agents, subsidiaries, joint ventures, employees and 3rd party service providers), from all claims, demands, losses, liabilities, costs, expenses, obligations and damages including reasonable legal fees, arising out of (a) your misuse of the Site; (b) your violation of any term of these Terms of Service; (c) a breach of your representations and warranties set forth in these Terms of Services; (d) your violation of any law or the rights of a 3rd party (including, without limitation, any copyright, property or privacy right); or (e) any claim that the Services you purchased caused damage to a 3rd party. This indemnification obligation will survive the termination of these Terms of Service and your misuse of the Site.

7. You will not assign any of your rights or delegate any of your obligations under these Terms without our prior written consent. Any purported assignment or delegation in violation of this Section 6 is null and void. No assignment or delegation relieves you of any of your obligations under these Terms.

8. The failure by us to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any right or provision will be effective only if in writing and signed by a duly authorized representative of Immigration Support Center.

9. These Terms do not and are not intended to confer any rights or remedies upon any person other than you. In other words, there are no intended 3rd party beneficiaries to this Agreement.

10. We may provide any notice to you under these Terms by: (i) sending a message to the email address you provide. Notices sent by email will be effective when we send the email and notices we provide by posting will be effective upon posting. It is your responsibility to keep your email address current. To give us notice under these Terms, you must contact us as follows: (i) by email transmission to michael@immigrationsupportcenter.com or (ii) by personal delivery, overnight courier, or registered or certified mail to Immigration Support Services, 21700 Oxnard Street, Suite 360, Woodland Hills, CA 91367. We may update the email address or mailing address for notices to us by posting a notice on the Site.


Prices and Payment Terms

11. All prices posted on this Site are subject to change without notice. The price charged for a service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Price increases will only apply to orders placed after such changes. Posted prices do not include taxes or charges for shipping and handling. We strive to display accurate price information, however we may, on occasion, make inadvertent typographical errors, inaccuracies or omissions related to pricing and availability. We reserve the right to correct any errors, inaccuracies, or omissions at any time and to cancel any orders arising from such occurrences.

12. Terms of payment are within our sole discretion and, unless otherwise agreed by us in writing, payment must be received by us before our acceptance of an order. We accept any credit cards that can be processed on the Stripe portal for all purchases. You represent and warrant that (i) the credit card information you supply to us is true, correct and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, regardless of the amount quoted on the Site at the time of your order.


Warranty and Disclaimers

13. We do not control any of the Services offered on our Site, unless otherwise indicated. The availability of Services through our Site does not indicate an affiliation with or endorsement of any service or Provider. Accordingly, we do not provide any warranties with respect to the Services offered on our Site. However, the Services offered on our Site are covered by the warranty as detailed in the terms provided in each Provider’s separate agreement. To obtain warranty service for defective products, please follow the instructions included in the manufacturer's warranty. ALL SERVICES OFFERED ON THIS SITE ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY WHATSOEVER; YOU AFFIRM THAT WE SHALL NOT BE LIABLE, UNDER ANY CIRCUMSTANCES, FOR ANY BREACH OF WARRANTY CLAIMS OR FOR ANY DAMAGES ARISING OUT OF THE PROVIDER’S FAILURE TO HONOR ITS WARRANTY OBLIGATIONS TO YOU.

14. IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES[, LOST PROFITS OR REVENUES OR DIMINUTION IN VALUE], ARISING OUT OF, OR RELATING TO, AND/OR IN CONNECTION WITH ANY BREACH OF THESE TERMS, REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH THE CLAIM IS BASED. OUR SOLE AND ENTIRE MAXIMUM LIABILITY, AND YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY CAUSE WHATSOEVER, SHALL BE LIMITED TO THE ACTUAL AMOUNT PAID BY YOU FOR THE SERVICES YOU HAVE ORDERED THROUGH OUR SITE.


Force Majeure

15. We will not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in our performance under these Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, epidemic, lockouts, strikes or other labor disputes (whether or not relating to our workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.


Governing Law & Jurisdiction

16. This Site is operated from the USA. All matters arising out of or relating to these Terms are governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of California.


Miscellaneous

17. If any provision of these Terms is invalid, illegal, void or unenforceable, then that provision will be deemed severed from these Terms and will not affect the validity or enforceability of the remaining provisions of these Terms.

18. These Terms, and the separate agreement with any Provider relating to any Service you obtain on or through this Site, will be deemed the final and integrated agreement between you and us on the matters contained in these Terms.

19. Dispute Resolution. If a dispute should arise between you and us, we want to provide you with a resolution that is efficient and cost effective by using our customer service team. Almost all customer service disputes can be resolved to the customer’s satisfaction by using our customer service, reachable by sending an email to michael@immigrationsupportcenter.com.

If your dispute cannot be resolved using our customer service team, these Terms describe how we shall proceed with the resolution of the dispute.

TO THE EXTENT PERMITTED BY APPLICABLE LAWS, YOU AND WE AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

YOU ARE AGREEING TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY, OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO ANY CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT MAY ALSO BE UNAVAILABLE OR MAY BE LIMITED IN ARBITRATION.

ANY CLAIM, DISPUTE OR CONTROVERSY (WHETHER IN CONTRACT, TORT OR OTHERWISE, WHETHER PRE-EXISTING, PRESENT OR FUTURE, AND INCLUDING STATUTORY, CONSUMER PROTECTION, COMMON LAW, INTENTIONAL TORT, INJUNCTIVE AND EQUITABLE CLAIMS) BETWEEN YOU AND US ARISING FROM OR RELATING IN ANY WAY TO YOUR PURCHASE OF PRODUCTS OR SERVICES THROUGH THE SITE, WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION.

WHAT IS ARBITRATION: Arbitration is more informal than a lawsuit in court and seeks to resolve disputes more quickly. Instead of a judge or a jury, the case will be decided by a neutral arbitrator who has the power to award the same damages and relief that a court can. If any provision of this arbitration agreement is found unenforceable, the unenforceable provision shall be severed, and the remaining arbitration terms shall be enforced.

ARBITRATION PROCEDURES: The Federal Arbitration Act governs the interpretation and enforcement of this dispute resolution provision. Arbitration shall be initiated through JAMS. Any dispute, controversy, or claim arising out of or relating to these Terms shall be referred to and finally determined by arbitration in accordance with the JAMS Streamlined Arbitration Rules and Procedures. If there is a conflict between JAMS Rules and the rules set forth in this Agreement to Arbitrate, the rules set forth in this Agreement to Arbitrate will govern. The JAMS Rules and instructions for how to initiate an arbitration are available from JAMS at http://www.jamsadr.com or 1-800-352-5267. To initiate arbitration, you or ISS must do the following things:

(1) Write a demand for Arbitration. The demand must include a description of the Claim and the amount of damages sought to be recovered. You can find a copy of a Demand for Arbitration at www.jamsadr.com.

(2) Send three copies of the Demand for Arbitration, plus the appropriate filing fee to your local JAMS office or to JAMS, 555 W. 5th Street, Suite 3200, Los Angeles, CA 90013.

(3) Send one copy of the Demand for Arbitration to the other party.

Payment of all filing, administration and arbitrator fees will be governed by the JAMS Rules, except that for claims of less than USD $1,000.00, you will be obligated to pay USD $25.00, and ISC will pay all other administrative costs and fees. In addition, for claims of less than USD $1,000.00, ISC will reimburse you for the USD $25.00 fee if the arbitrator rules in your favor. Arbitration under this agreement shall be held in the United States county where you live or work, California, or any other location we mutually agree to, subject to California law. The arbitration may award on an individual basis the same damages and relief as a court (including injunctive relief). Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

AUTHORITY OF ARBITRATOR: The arbitrator will decide the rights and liabilities, if any, of you and ISC, and the dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim. The arbitrator shall have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under applicable law, the Arbitration Rules, and the Terms. The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon you and ISC.

20. No Class Actions. You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed.

21. Waiver of Jury Trial. THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY, instead electing that all claims and disputes shall be resolved by arbitration. Arbitration procedures are typically more limited, more efficient and less costly than rules applicable in court and are subject to very limited review by a court.

22. In the event any litigation should arise between you and us in any state or U.S. federal court in a suit to vacate or enforce an arbitration award or otherwise, YOU AND IMMIGRATION SUPPORT CENTER WAIVE ALL RIGHTS TO A JURY TRIAL, instead electing that the dispute be resolved by a judge. YOU ACKNOWLEDGE THAT YOU HAVE BEEN ADVISED THAT YOU MAY CONSULT WITH AN ATTORNEY IN DECIDING TO ACCEPT THIS AGREEMENT TO ARBITRATE.

23. OPT-OUT OF AGREEMENT TO ARBITRATE: You can decline this agreement to arbitrate by emailing ISC at michael@immigrationsupportcenter.com and providing the requested information as follows: (1) Your Name; (2) the URL of Terms of Use and Agreement to Arbitrate Disputes; (3) Your Address; (4) Your Phone Number; (5) and clear statement that you wish to opt out of this arbitration provision in the Terms of Use. The Opt-Out Notice must be emailed no later than 30 days after the date you first accept the Terms of Use by using the website.
